These Terms of Service ("Terms") govern your access to and use of Logicues — a multi-tenant QR menu and in-store ordering platform ("Logicues", "we", "us", "our", or the "Service"). By creating an account, accessing, or using the Service, you ("you", "the Merchant") agree to these Terms.

1.Who we are & what Logicues does

Logicues provides software that lets restaurants, cafes, dessert bars, QSRs and similar food-service businesses publish digital menus, accept QR-based dine-in and takeaway orders, receive order notifications (including via WhatsApp), and manage their storefront from an admin dashboard. Each Merchant operates on its own branded subdomain (for example, yourname.logicues.com).

Logicues is a software and tooling provider only. We do not prepare, sell, or deliver food, and we are not a party to any transaction between you and your customers. You are the seller of record for every order placed through your storefront, and the e-commerce entity responsible for that storefront's compliance with consumer-protection and e-commerce law; Logicues merely provides the technology you use to run it. Logicues does not operate a marketplace, does not list or rank restaurants for diners to browse, and does not aggregate sellers — each storefront is your own single-seller site, reached directly by your customers.

3.Your content & responsibilities

You retain ownership of the content you upload — menu items, descriptions, photos, prices, branding and similar ("Merchant Content"). You grant us a limited licence to host, display and process that content solely to operate the Service for you.

You are solely responsible for ensuring that your menus, prices, allergen and ingredient information, taxes, and any age-restricted items are accurate and comply with applicable law, including the Food Safety and Standards Act, 2006 and rules of the FSSAI, GST law, and local licensing requirements. You must hold all licences and registrations required to run your business.

4.Payments to you, and orders

Logicues operates on a 0% order-commission model. Where you accept UPI or other digital payments, those payments are settled directly into your own account through your chosen payment instrument — Logicues does not collect, hold, or settle your customers' order payments, and is not a payment aggregator for those transactions. Logicues also does not verify, confirm, or guarantee that any payment was actually received — an order's "Paid" status is set by you or your staff and is not proof of receipt; reconciling payments is your responsibility.

Any dispute, refund, chargeback or quality issue relating to an order is solely between you and your customer. You agree to handle customer refunds and complaints in accordance with applicable consumer-protection law.

Access to paid features is provided on a subscription basis. Plan names, inclusions and prices are shown at sign-up and on our website and may be updated from time to time. You can set up your storefront for free; certain features become available when you subscribe.

As a hosting intermediary, Logicues does not pre-screen Merchant Content. If you believe content on a storefront is unlawful or infringing, report it to our Grievance Officer at [email protected]; we will review and, where appropriate, remove or disable access to it within the timelines required by applicable law, including the Information Technology Act, 2000 and the rules made under it.

7.Service availability

We work to keep the Service reliable but provide it on an "as is" and "as available" basis. We may perform maintenance, modify, or discontinue features, and occasional downtime may occur. We do not guarantee uninterrupted or error-free operation.

8.Intellectual property

The Logicues platform, software, design, and trademarks are owned by us or our licensors. Except for the rights expressly granted to you to use the Service, no other rights are transferred. You may not use our name or branding without prior written permission.

9.Suspension & termination

You may stop using the Service and cancel your subscription at any time as described in the Refund & Cancellation Policy. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us, other tenants, or third parties. On termination, your right to use the Service ends; we will, where reasonable, make your data available for export for a limited period before deletion.

10.Disclaimers & limitation of liability

To the maximum extent permitted by law, Logicues is not liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, goodwill, or data, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service is limited to the subscription fees you paid to us in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11.Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your Merchant Content, your products and services, your breach of these Terms, or your violation of any law or third-party right.

12.Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or an in-dashboard notice). Your continued use of the Service after changes take effect constitutes acceptance.

13.Governing law

These Terms are governed by the laws of India. Subject to applicable law, the courts at our principal place of business in India will have jurisdiction over any dispute, unless otherwise required by mandatory consumer-protection rules.
